1.Who we are

Dehaun is a Nigerian legal technology company. These terms are an agreement between you and Dehaun Limited, a private company limited by shares, registered in Nigeria under the Companies and Allied Matters Act 2020 with registration number RC 9831504.

In this document, Dehaun, we and us mean that company. You means the person or organisation using the service. If you are using Dehaun on behalf of a business, you are agreeing to these terms for that business, and you are confirming you are allowed to.

You can reach us at support@dehaun.com. For anything about your personal information, write to privacy@dehaun.com.

2.What Dehaun is, and what it is not

Dehaun is software. It helps you create, organise, sign and keep track of legal documents, and it can put you in touch with independent lawyers who offer their services through the platform.

Dehaun is not a law firm. We do not practise law and we do not give legal advice. Nothing the software produces is legal advice, and using Dehaun does not create a lawyer and client relationship between you and us.

When you engage a lawyer through Dehaun, four things follow.

  • The lawyer is independent. They are not our employee, our partner or our agent.
  • The professional relationship is between you and that lawyer, and so is any privilege or confidentiality that comes with it.
  • The lawyer is responsible for the advice they give and the work they do. We are not.
  • We check a lawyer's stated qualifications before they can take paid work. That is a check of documents by a person at Dehaun. It is not a guarantee of anyone's judgement, competence or conduct.

3.Your account

You need an account to use Dehaun, and you must be at least eighteen. Give us accurate details and keep them up to date, because we use them to reach you about your documents and your money.

Keep your password to yourself. Anything done through your account is treated as done by you, so tell us straight away at support@dehaun.com if you think somebody else has got in.

We can suspend or close an account that is being used to break these terms, to break the law, or in a way that puts other people using Dehaun at risk. Where we reasonably can, we will tell you why first.

4.Using Dehaun as a business or an individual

You may use Dehaun to create, store, share, sign and manage documents for yourself or for the business you represent.

You are responsible for what you put into Dehaun and for what you do with what comes out. That includes making sure you are entitled to upload a document, and deciding whether a document is right for your situation before you rely on it or sign it.

You must not use Dehaun to do anything unlawful, to impersonate somebody, to upload material you have no right to, or to try to break, overload or get around the security of the service.

5.Using Dehaun as a lawyer

If you join as a lawyer, you are telling us that you are qualified to practise in Nigeria and that you are entitled to do so today. You agree to send us the documents we ask for so a person at Dehaun can check that, and you agree to tell us if your position changes.

Your professional obligations are unchanged by being here. The Rules of Professional Conduct, your duties to your clients, your confidentiality and your insurance are yours, and Dehaun does not alter, share or reduce any of them. If anything in these terms would put you in breach of your professional obligations, your professional obligations come first and you should tell us.

When you take work through the marketplace, you are contracting with that client, not with us. You decide whether to accept a matter, and you are responsible for the work.

We charge a fee on work taken through the platform, taken out of what the client pays before the rest reaches you. The current fee is shown to you before you accept a piece of work, and the amount you will receive is shown as a figure rather than left to be worked out.

6.What the AI drafts

Some of what Dehaun produces is generated by AI. We are deliberate about how far that goes: the software assembles and arranges material from templates and a clause library rather than inventing legal wording of its own, and a document generated this way is labelled as a draft that has not been reviewed by a lawyer.

That label means what it says. A draft is a starting point. It has not been read against your circumstances, it may be wrong for what you actually need, and it is not advice.

We do not promise that a generated document is suitable, complete, current or legally effective. Where it matters, have a lawyer read it. Dehaun is built to make that easy, and using it is your decision.

AI in Dehaun also summarises, explains, suggests dates and helps a lawyer redraft their own wording. The same applies to all of it. It is a suggestion for a person to accept, change or throw away.

7.Who owns what

You keep everything you bring and everything you make. Documents you upload, documents generated for you, your notes and anything a lawyer drafts for a client through Dehaun belong to you, and where a lawyer prepared it for a client, to that client. We do not claim ownership of any of it.

To run the service we need permission to handle it. So you give us a licence to store it, copy it for backups, show it back to you and to the people you choose to share it with, process it to provide the features you have asked for, and create de-identified material from it in the limited way described in the next section.

That licence is worldwide, free of charge, and lasts for as long as we hold the content. It exists so the product can work. It does not allow us to sell your documents, publish them, show them to another customer, or pass them to anyone other than the service providers named in our Privacy Policy.

If you are a lawyer, this licence does not ask you to grant anything that is not yours to grant. Where a document or a note belongs to your client, the licence covers only what you are actually entitled to permit, and nothing in these terms asks you to exceed that.

Dehaun itself, the software, the interface, the template library and our brand remain ours. You may use them to use the service, and not for anything else.

8.How we improve Dehaun

We learn from how Dehaun is used. There are two different things here and we treat them differently on purpose.

How the software is used. Which features get opened, how long a step takes, which templates get chosen, where people give up, and what breaks. None of this tells us anything about the substance of anyone's legal matter, and we use it freely to make the product better for everybody.

What is written inside it. The text of a document, a clause, a matter note or a meeting transcript. This is your material, and if you are a lawyer it is your client's confidential material. We do not use it to build our clause library, improve our templates or train anything, unless the account has turned that on.

That switch is off unless you turn it on. It lives in Settings, and you can turn it off again whenever you like. Turning it off stops any further use. It does not unpick what has already been learned, which is exactly why we ask first rather than assume.

Whichever way the switch is set, we never publish your documents and never show them to another customer.

9.Clauses you write

When you draft a document in Dehaun and keep a version of it, we may save the clauses you wrote as separate pieces in your own clause library, so that you can find them and use them again. You give us permission to store them and to show them back to you for that purpose.

Those saved clauses are yours. Only you can see them. We do not show them to other lawyers or other customers, and we do not offer them to the part of Dehaun that drafts documents for other people. They are marked as not yet approved wherever they appear, because nobody but you has checked them.

The one exception is the switch described under how we improve Dehaun. If your account has that switch on, you also give us a licence to use the clauses you write, with anything that identifies you, your client or the matter taken out, to improve our clause library and templates. That licence is non-exclusive, free of charge and worldwide. It lasts only while the switch is on for new material, and you keep ownership of your own wording throughout.

If a clause contains your client's confidential information, you remain responsible for deciding whether it should be kept at all. You can delete a clause from your library at any time, and deleting it removes our permission to keep it.

You can also use a clause from our library that no lawyer has yet approved. If you do, the clause carries your name on Dehaun's record that you chose to rely on it before it was checked. It is your professional judgement that the clause is right for the document you put it in, not ours.

10.Electronic signatures

Dehaun can send a document for signature and record that it was signed. When somebody signs, we record who they said they were, the address the link was sent to, that they confirmed a code sent to that address, the time, the signature they typed or drew, and a fingerprint of the exact document they were shown. That record is kept and can be produced later.

Two things to be clear about. We provide the tool. Whether a particular document has been validly executed is a question of law, and it depends on the document and on who had authority to sign it.

Nigerian law does not treat every document as capable of being signed electronically. A will is the clearest example, and some instruments affecting land carry their own requirements for execution, attestation, stamping or registration. Do not use Dehaun's signing for those. If you are not sure which side of the line a document falls on, ask a lawyer before you send it.

11.Lawyer reviews and the money

When you buy a lawyer review, you pay before the work starts. We hold the fee and release it to the lawyer once the review has been delivered.

Be clear about what holding means here. The money sits in Dehaun's ordinary business account, and our records show what is owed and to whom. It is not held in a separate regulated client account, and Dehaun is not a bank or a licensed financial institution. Payments are collected and processed through licensed payment providers.

If the review is delivered, the lawyer is paid and we keep our fee out of what you paid. If nobody takes the work within the time we have said, if the lawyer declines it, or if you cancel before it has started, you are refunded.

If you are unhappy with a review, you can raise a dispute. Somebody at Dehaun reads it and decides whether the money is released to the lawyer or returned to you, and that decision is recorded with the reason and the name of the person who made it. That decision is about the money only. It is not a judgement about the quality of anybody's legal advice, and it does not take away any other right you have against the lawyer.

12.Arrangements made outside Dehaun

Everything we are able to do for you happens inside Dehaun. If you and a lawyer you met here agree to work together somewhere else, over WhatsApp, by email, in person, or under any other arrangement, that agreement is between the two of you and Dehaun is not part of it.

None of the protections in these terms reach it. We are not holding the money, so there is nothing for us to release to anybody or refund to anybody. There is no dispute for us to look at and decide. We have no record of what was agreed, what was delivered or what was paid, so we cannot help either of you show it later. We are not responsible for the work, for the money, or for anything that goes wrong between you.

Two different things happen on Dehaun and it matters which one you are doing. A lawyer review is bought and paid for here, at a price shown before you commit, and the section above describes what we do with that money. Finding a lawyer through our directory is not that. It is an introduction and nothing more. Whatever you go on to agree with them, what it costs, how long it takes and what happens if it goes wrong, is between the two of you.

So please do not take a review that was priced and paid for here and settle it somewhere else, because that is the one case where you would be giving up protection you have already paid for, and we may suspend an account used that way. For everything else, dealing with the lawyer directly is exactly what the directory is for.

Listing a lawyer is not a recommendation. We check that a bar number is real and that the documents a lawyer gives us match it. We do not vet their work, supervise it, or stand behind it, and we have no way to judge whether any particular lawyer is right for your problem.

13.Plans, credits and payment

Some of Dehaun is paid for. A plan is charged monthly or yearly and renews automatically until you cancel. You can cancel at any time, and you keep everything on the plan until the end of the period you have already paid for. We do not refund part of a period.

Some actions are paid for individually rather than by subscription. Where that is the case, the price is shown before you commit to the action, and nothing is charged without that.

We can change our prices. If we do, we will tell you before the change reaches you, and the change will not apply to a period you have already paid for.

If a payment fails, we will keep trying for a short period and tell you. If it keeps failing, the plan ends when the period you have paid for runs out. You do not lose your documents when that happens.

Prices are in Naira and include any tax we are required to charge.

14.Keeping your things private

We treat what you put into Dehaun as confidential. Inside Dehaun, access to it is limited to the people who need it to run the service, to support you when you ask, or to look into a problem or a dispute, and that access is logged.

We will not hand your content to anybody else except as described in our Privacy Policy, or where the law requires it. If we are ever compelled to produce something, we will tell you unless we are forbidden from doing so.

If you are a lawyer, note that our confidentiality is a contractual promise from a software company. It is not legal professional privilege, which belongs to your client and to their relationship with you. Nothing here creates or extends privilege.

15.What we do not promise

We work hard to keep Dehaun running and correct, but we provide it as it is. We do not promise it will always be available, that it will never lose anything, or that it will be free of faults.

We are not responsible for the advice a lawyer gives you, for the work they do or fail to do, or for any dispute between you and them. We are also not responsible for a decision you make on the strength of a document the software generated, which is why every generated document says it has not been reviewed.

Where we are responsible for something, our total liability to you is limited to the amount you paid Dehaun in the twelve months before the claim arose. Nothing in these terms limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

16.Ending your account

You can stop using Dehaun and close your account at any time. Before you do, export anything you want to keep.

We can end your access if you seriously or repeatedly break these terms, if we are required to by law, or if we stop offering the service. If we stop offering the service, we will give you reasonable notice and a way to take your documents with you.

What happens to your information afterwards is set out in our Privacy Policy. In short, records that are evidence of something that happened, such as a signed document, its audit trail and payment records, are kept. Everything else has your personal details removed.

17.Changes to these terms

We will change these terms from time to time, because the product changes and the law changes. The current version is always on this page, with the date it took effect.

If a change materially affects your rights, we will tell you before it takes effect, by email or in the app. If you do not agree with a change, you can close your account, and we will refund the unused part of any period you have paid for in advance.

18.Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria.

If something goes wrong, please write to support@dehaun.com first. Most things are settled quickly that way. If we cannot settle it between us, the courts of Lagos State have jurisdiction.

Questions about this document go to support@dehaun.com. Anything about your own information goes to privacy@dehaun.com.
